- Assisting Italian and international asset management companies in the establishment and marketing of investment funds, including real estate funds, private equity funds and UCITS as well as with ongoing regulatory compliance;

- Advising Italian and international firms, banks and other financial intermediaries in relation to compliance with Italian regulatory framework, with specific reference to the rules governing the performance of investment services and rules on the offering and distribution of financial products;

-Advising listed issuers and capital markets companies dealing with non-recurring operation such as public tenderoffers and admissionsto trading on regulated markets as well asin the field of corporate acquisitions.

- Developing compliance, governance, remuneration and risk management policies for banks, asset management companies and other financial intermediaries including dealing with local regulatory bodies such as Bank of Italy and CONSOB;
- Cross-borderrequest of authorizations relating to the provision of a range of financial products including shares, bonds, loans and funds;
- Documentation, reporting structures and decision-making processes associated with regulatory matters, board and committee regulation;
- Financial regulatory assessment of corporate transactions involving the acquisition or sale of a financial institution;
- Establishing investment management vehicles, including EuVeca, regulated UCITS and FIA funds;
- Investigations by local regulatory bodies, covering a wide range of issues, including governance, remuneration, complaints handling, insider dealing and market abuse.

Experience in the M&A field especially regarding cross border operations.

Drafted due diligence reports, transfer deeds, sale and purchase agreements, deed of pledge, merger plans, board of directors and shareholders’ meeting resolutions and voluntary tender offers.
